Terms of Service

1. Agreement to Terms

By accessing ogmadev.com or purchasing any service from OGMA Development LLC ("OgmaDev", "we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Services

OgmaDev provides AI deployment services for mid-market manufacturing and logistics companies under the SIGNAL Method: Scan, Identify, Ground, Navigate, Activate, and Lock. Specific deliverables, timelines, and scope for each stage are defined in the Product Clarity Brief, Impact Blueprint, or other signed engagement document agreed at the start of that stage.

We reserve the right to modify, suspend, or discontinue any service with reasonable notice. We will not be liable if, for any reason, all or any part of a service is unavailable at any time.

3. Payment & Engagement Terms

• Scan Sessions ($2,000) and the Vibe-to-Production Protocol ($4,500) are fixed-fee, paid in advance, and processed by Stripe.
• Level 1: Identify + Ground ($15,000) is fixed-scope and invoiced at the start of the two-week engagement. The Scan fee is credited toward Level 1 if you continue within the agreed window.
• Navigate ($18,000–$40,000/month) and Lock ($4,500/month) are billed monthly in advance. We cap active Navigate engagements at two clients at a time. Lock has a six-month minimum term.
• All fees are in USD. Fixed-fee stages are non-refundable once the session or sprint has been delivered; monthly stages may be cancelled with at least 5 business days' notice before the next billing date.

4. Infrastructure & Cost Transparency

For Navigate and Lock engagements, production AI infrastructure (model usage, hosting, and related third-party costs) is billed directly to your own accounts, not ours. This removes any incentive for us to run expensive models on your behalf and gives you full visibility into operating cost from day one.

5. Client Responsibilities

To receive the agreed services, you agree to:

• Provide timely access to necessary repositories, environments, and tools
• Designate a point of contact for async communication
• Respond to questions or review requests within a reasonable timeframe
• Not request work that infringes on third-party intellectual property, violates laws, or violates platform terms of service

6. Intellectual Property

Upon full payment, all code and deliverables produced by OgmaDev exclusively for your project become your property. OgmaDev retains the right to reference the engagement as a case study (without sharing proprietary code or your confidential data) unless you request otherwise in writing.

Pre-existing code, the twelve-point Toolchain Protocol, open-source libraries, and internal tooling used by OgmaDev remain OgmaDev's property or are subject to their respective open-source licenses.

7. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. This includes your product roadmap, technical architecture, and business data. We will not disclose your confidential information to third parties without your consent, except as required by law.

8. Limitation of Liability

To the maximum extent permitted by law, OgmaDev's total liability for any claim arising out of or relating to these terms shall not exceed the fees paid by you in the three months preceding the claim. OgmaDev is not liable for indirect, incidental, or consequential damages.

9. Governing Law

These terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes will be resolved in the courts of Texas.

10. Changes to Terms

We reserve the right to update these Terms of Service. Active clients will be notified of material changes at least 14 days in advance via email. Continued use of our services constitutes acceptance of the revised terms.
